This Service Provider Agreement ("Agreement") is between you ("Provider", "you") and WUN ("Wat-U-Need"), operated by 24/7 I.T. of Saint Lucia ("WUN", "we", "us"). It governs your use of the WUN platform to offer and perform home and professional services — for example, cleaning, handyman and repair work, electrical and plumbing, beauty and grooming, tutoring, and similar bookable services. It is in addition to the WUN Terms of Service and Privacy Policy.
1. Independent contractor
- You are an independent contractor (or an independent business). This Agreement does not create an employment, agency, partnership, or joint-venture relationship with WUN.
- You decide which services to list, your availability, and which bookings to accept. There is no minimum volume and no set hours.
- You are responsible for your own taxes, national insurance, licences, tools, materials, and any business registrations.
- WUN provides a technology platform that connects you with customers seeking services; WUN does not itself perform the services and is not your employer. The service contract is between you and the customer.
2. Onboarding and background checks
Before you can offer services, and periodically afterwards, we may require and verify:
- proof of identity and the legal right to work and operate in the territory;
- a background check (including, where lawful and relevant to the service, a police certificate of character);
- trade or professional licences, certifications, and permits required by law for the service you offer (for example, electrical or plumbing work), and any professional-body membership where relevant;
- evidence of relevant experience or qualifications and, where applicable, public-liability insurance;
- references or portfolio samples where we request them.
You must keep these current and notify us promptly if any licence, certification, or authorisation lapses or is revoked, and stop offering the affected service until it is restored. Offering a regulated trade without the required licence is a serious breach.
3. Service standards
- Perform services competently, safely, professionally, and in line with your listing, the agreed scope, and applicable standards and building or safety codes.
- Arrive on time (or give reasonable notice), come prepared with appropriate tools and materials, and communicate clearly about scope, timing, and any changes.
- Treat customers, their households, and their property with respect and care; do not discriminate or harass, and protect customer privacy.
- Do not solicit payment or take bookings for WUN-listed services outside the app in order to avoid commission ("off-platforming"), and do not misrepresent your qualifications, pricing, or the work performed.
- Address legitimate complaints and rework reasonably, and honour any workmanship guarantee you offer.
4. Pricing and pricing floors
- You set your prices within the structure the Platform provides (for example, fixed-price packages, hourly rates, or quotes after assessment), and you must show prices clearly and honour quoted prices.
- To protect service quality and fair competition, WUN may set minimum prices ("pricing floors") for certain service categories. You may price at or above the floor but not below it.
- Any materials or parts costs must be disclosed to the customer in advance and itemised where appropriate.
- All prices are in XCD unless stated otherwise, and include or clearly state applicable taxes.
5. Commission and payments
- WUN charges a service commission — a percentage of the service price — for use of the Platform. The current rate is shown in the provider app and may vary by category, and may be updated on reasonable notice.
- Where payment is made through the Platform, we collect on your behalf and remit your earnings, net of commission and any adjustments, to your nominated account on our normal payout schedule.
- Government taxes and applicable transaction fees may be deducted or added as required. Refunds for your fault, chargebacks, and amounts collected in error may be deducted.
- You are responsible for declaring and paying any taxes on your earnings.
6. Ratings, quality, and deactivation
- Customers rate and review completed jobs, and we monitor complaints, cancellations, no-shows, safety reports, and compliance.
- We may warn, suspend, or permanently deactivate your access where your rating falls below a stated threshold, where there are serious or repeated complaints, or where there is a safety, fraud, licensing, or documentation issue.
- Serious matters — such as an allegation of misconduct, unsafe or unlicensed work, or a lapsed required licence — may lead to immediate suspension pending review. Where fair, we will give the reason and an opportunity to respond or appeal.
7. Insurance and liability
- You are responsible for holding appropriate insurance for your trade (including public-liability cover where relevant) and for any excess or uninsured loss.
- You are solely responsible for the quality and safety of the services you perform and for any damage or injury you cause.
- To the fullest extent permitted by law, WUN is not liable for the services you provide, and you will indemnify WUN against claims arising from your acts, omissions, breach of this Agreement, or breach of law.
- Nothing in this Agreement limits liability that cannot be limited by law.
8. Data and confidentiality
You need a compatible device and internet access. We share the customer details you need to perform a booking, as described in the Privacy Policy. You must keep customer information confidential, use it only to perform the booking, and not retain or reuse it for your own marketing without consent.
9. Term, suspension, and termination
This Agreement continues until ended by either party. You may stop using the Platform at any time, subject to completing accepted bookings. We may suspend or end your access for breach, safety, licensing, or legal risk, or where required by law. Sections on earnings reconciliation, liability, indemnity, and confidentiality survive termination.
10. Changes
We may update this Agreement, including commission rates, pricing floors, and requirements, on reasonable notice through the provider app or by email. Continuing to offer services after changes take effect means you accept them.
11. Governing law and disputes
This Agreement is governed by the laws of Saint Lucia. The parties will attempt to resolve disputes in good faith and, failing that, through mediation in Saint Lucia, with the courts of Saint Lucia otherwise having exclusive jurisdiction.
